Terms of Service

Perfect Path Transactions LLC (“Perfect Path,” “we,” “us,” or “our”) is a Texas limited liability company that provides real estate transaction coordination services. These Terms of Service (“Terms”) govern your access to and use of our website at perfectpathtc.com and any associated services, including our client portal (collectively, the “Services”).
Please read these Terms carefully before using our Services. By accessing or using our website or Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
Acceptance of Terms
By accessing our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are using the Services on behalf of a business, brokerage, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” refers to both you individually and the entity.
You must be at least 18 years of age to use the Services. By using the Services, you represent that you are at least 18 years old.
Description of Services
Perfect Path provides real estate transaction coordination services, which are administrative in nature. Our services include, but are not limited to:
- Managing transaction timelines, deadlines, and checklists
- Coordinating communication between transaction parties on behalf of the contracting agent
- Preparing and organizing transaction documents
- Tracking contract-to-close milestones
- Providing status updates to the contracting agent
Our Services are designed to support licensed real estate professionals and their teams. We do not provide real estate brokerage services, legal advice, financial advice, or property valuations.
User Accounts
Certain features of our Services, including the client portal, require you to create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your login credentials secure and not share them with any third party
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate your account if any information provided is inaccurate, incomplete, or if you violate these Terms.
TREC Compliance & Industry Disclaimers
Transaction Coordination Services Only
Perfect Path acts solely as a transaction coordinator providing administrative services. We do not act as a real estate licensee with regard to property transactions. Specifically:
- We do not negotiate the terms of any real estate contract or transaction
- We do not provide opinions on property value, condition, or suitability
- We do not advise on contractual decisions, inspection results, or financing options
- Our communication with buyers, sellers, and other transaction parties is limited to obtaining signatures and relaying factual information on behalf of the contracting agent
Not Legal Advice
Perfect Path Transactions is not a law firm and does not provide legal advice. No information provided through our Services should be construed as legal advice. Clients and transaction parties should consult with a licensed attorney for legal matters related to their real estate transactions.
Regulatory Compliance
Transaction coordinators in Texas operate under guidelines established by the Texas Real Estate Commission (TREC). These Terms are designed to be flexible enough to accommodate changes in TREC regulations and guidance regarding transaction coordinator practices. It is the responsibility of each contracting agent and their sponsoring broker to ensure compliance with all applicable TREC rules and regulations.
Scope of Services
You acknowledge and agree that:
- Perfect Path is not responsible for missed deadlines caused by the contracting agent's failure to perform, respond, or provide required information in a timely manner
- We do not guarantee transaction outcomes, including but not limited to closings, loan approvals, inspection results, or appraisal values
- We are not responsible for false, inaccurate, or incomplete information provided by any transaction party, including agents, buyers, sellers, lenders, title companies, or other third parties
- Our role is administrative support for the contracting agent, and all substantive decisions regarding the transaction remain the responsibility of the agent and their sponsoring broker
Payment Terms
Fees and Payment Methods
Fees for our Services are as set forth in the applicable service agreement between you and Perfect Path. We accept payment via:
- Credit/debit card processed through Stripe, our third-party payment processor
- Zelle bank transfer
Third-Party Payment Processing
Credit and debit card payments are processed by Stripe, Inc., a PCI-DSS Level 1 certified payment processor. Perfect Path does not store, process, or have access to your full credit card numbers. By making a payment through Stripe, you agree to Stripe's Services Agreement. Your payment data may be transferred, processed, and stored outside of your jurisdiction by Stripe in accordance with their privacy practices.
Invoicing and Late Payments
Invoices are issued through our client portal and are due upon the terms specified in each invoice. We may send automated email notifications regarding invoice status, including when invoices are sent, past due, or paid. If payment is not received by the due date, we reserve the right to suspend Services until payment is received.
Refunds
Refund eligibility is determined on a case-by-case basis in accordance with your service agreement. To request a refund, please contact us using the information provided at the end of these Terms.
Electronic Communications
By using our Services, you consent to receive communications from us electronically, including via email and through our client portal. You agree that all notices, agreements, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing, in accordance with the Texas Uniform Electronic Transactions Act (Business & Commerce Code, Chapter 322) and the federal Electronic Signatures in Global and National Commerce Act (E-SIGN).
Electronic communications from us may include:
- Invoice notifications (sent, past due, and payment received)
- Account-related notices and security alerts
- Service updates and changes to these Terms
- Responses to your inquiries
To receive electronic communications, you need a device with internet access, a current web browser that supports TLS 1.2 or higher, and a valid email address. You may withdraw your consent to receive electronic communications by contacting us, but doing so may result in the termination of your access to certain Services.
Intellectual Property
Our Content
All content on our website and within our Services, including but not limited to text, graphics, logos, images, software, proprietary workflows, checklists, and templates, is the property of Perfect Path Transactions LLC or its licensors and is protected by United States copyright, trademark, and other intellectual property laws.
Your Content
You retain ownership of all documents and information you provide to us in connection with your real estate transactions. We claim no ownership rights over your transaction documents, client data, or other materials you provide.
Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purpose. This license does not include the right to reproduce, distribute, modify, or create derivative works from any of our content without our prior written consent.
Acceptable Use
You agree not to use the Services to:
- Violate any applicable federal, state, or local law or regulation
- Engage in any activity that constitutes unlicensed real estate brokerage activity under Texas law
- Access or attempt to access any other user's account or data without authorization
- Share your account credentials with any unauthorized third party
- Use automated means (bots, scrapers, crawlers) to access or collect data from our website or Services
- Upload or transmit false, inaccurate, or misleading information
- Interfere with or disrupt the integrity, security, or performance of the Services
- Attempt to reverse engineer, decompile, or disassemble any aspect of the Services
- Use the Services to transmit unsolicited commercial communications (spam)
We reserve the right to suspend or terminate your access to the Services immediately if we reasonably believe you have violated these acceptable use provisions.
Privacy & Data Rights
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference.
Under the Texas Data Privacy and Security Act (TDPSA), you may have certain rights regarding your personal data, including the right to access, correct, delete, and obtain a portable copy of your data, as well as the right to opt out of certain data processing activities. For details on how to exercise these rights, please refer to our Privacy Policy.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by applicable law, Perfect Path disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that:
- The Services will be uninterrupted, timely, secure, or error-free
- The results obtained from the Services will be accurate or reliable
- Any errors in the Services will be corrected
- The Services will meet your specific requirements or expectations
No advice or information, whether oral or written, obtained from Perfect Path or through the Services creates any warranty not expressly stated in these Terms.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PERFECT PATH TRANSACTIONS LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST COMMISSIONS, LOST DEALS, LOST PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.
Our total aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed the total amount of fees paid by you to Perfect Path under the applicable service agreement during the twelve (12) months immediately preceding the event giving rise to the claim.
The limitations in this section do not apply to liability arising from gross negligence, willful misconduct, or fraud.
Indemnification
You agree to indemnify, defend, and hold harmless Perfect Path Transactions LLC and its officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any claims arising from the underlying real estate transactions for which you engaged our Services
- Any inaccurate, incomplete, or misleading information you provided to us
Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms (other than payment obligations already accrued) to the extent that such failure or delay results from circumstances beyond the party's reasonable control, including but not limited to:
- Natural disasters, epidemics, or pandemics
- Internet infrastructure outages or content delivery network failures
- Cyberattacks, including distributed denial-of-service attacks
- Third-party service provider outages (including cloud hosting, payment processors, and identity providers)
- Government actions, orders, or restrictions
- Power or telecommunications failures affecting our hosting infrastructure
The affected party shall provide prompt written notice of the force majeure event and shall use reasonable efforts to mitigate its effects and resume performance. If a force majeure event continues for more than sixty (60) days, either party may terminate the affected Services upon written notice.
Dispute Resolution
Step 1: Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us in writing and attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiation for a period of thirty (30) days from the date we receive your written notice.
Step 2: Mediation
If the dispute cannot be resolved informally, either party may initiate mediation. Mediation shall be conducted in the Dallas–Fort Worth metropolitan area by a mutually agreed-upon mediator. The costs of mediation shall be shared equally by the parties.
Step 3: Binding Arbitration
If the dispute is not resolved through mediation, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the Dallas–Fort Worth metropolitan area, Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
YOU AND PERFECT PATH AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and Perfect Path agree otherwise, the arbitrator may not consolidate the claims of more than one person and may not otherwise preside over any form of a representative or class proceeding.
Governing Law & Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the state courts located in Ellis County, Texas, or the United States District Court for the Northern District of Texas, Dallas Division, for any legal proceedings not subject to the arbitration provisions above.
Modifications to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will update the “Last Updated” date at the top of this page and, for material changes, will provide notice via email to the address associated with your account or through a prominent notice on our website.
Changes become effective thirty (30) days after posting unless a longer notice period is required by law. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the modified Terms, you must stop using the Services.
General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and Perfect Path regarding the Services and supersede all prior agreements, representations, and understandings.
Severability
If any provision of these Terms is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. If the arbitration or class action waiver provisions are found to be unenforceable, the remaining Terms shall remain in effect.
No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Perfect Path.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, or by operation of law, without your consent. Any attempted assignment in violation of this section is void.
No Third-Party Beneficiaries
These Terms are for the sole benefit of the parties hereto and their respective successors and permitted assigns. Nothing in these Terms is intended to or shall create any third-party beneficiary rights.
Relationship of the Parties
Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and Perfect Path. Neither party has the authority to bind or obligate the other party in any manner.
Notices
All legal notices to Perfect Path must be sent to the contact information listed below. Notices to you will be sent to the email address associated with your account or, for website visitors, posted on our website. Email notices are deemed received within twenty-four (24) hours of sending.
Headings
The section headings in these Terms are for convenience only and do not affect the interpretation of any provision.
Survival
The following sections survive termination of these Terms: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law & Venue, and General Provisions.
